Terms of service

Welcome to Cadence. By using the platform you agree to these terms. We try to write them in plain English, if anything is unclear, ask legal@cadence.work.

1. Who we are

Cadence Labs, Inc., a Delaware corporation. Our service is the booking platform at cadence.work. These terms govern your use of it.

2. Roles

  • Founders book engineers via the platform. You agree to pay the weekly rate plus our 20% take-rate (10% if you came via a partner link).
  • Engineers are independent contractors who agree to deliver work-for-hire to founders. You receive 80% of the gross weekly rate after Stripe fees.
  • Partners earn 10% recurring on referred founders for as long as those founders are active on Cadence.

3. Trial & billing

  • The first 48 hours after a founder picks an engineer are free.
  • If the founder keeps the engineer, weekly billing begins immediately and continues until cancelled.
  • Cancellations take effect at the end of the current week.
  • Disputes: founders have 7 days from invoice to dispute. We mediate in good faith; refunds at our discretion based on platform ratings and messaging logs.

4. IP & confidentiality

Engineers assign all IP to the founder's company at the moment of creation (work-for-hire). Engineers and founders agree to confidentiality of business information shared during engagements. Trade-secret level information must be marked as such; otherwise standard confidentiality applies.

5. Conduct

Don't harass, defraud, or evade ratings. Specifically:

  • No off-platform poaching of engineers in the first 12 months of a Cadence engagement.
  • No fake referrals (self-referring founders is fraud).
  • No falsifying ratings, daily ratings must reflect actual work.
  • No discriminatory matching based on protected categories (race, gender, religion, etc.).

6. Termination

You can close your account from Settings. We can suspend accounts for breach of these terms with 7 days notice (or immediately for fraud / safety issues). Active bookings wind down at the next week boundary.

7. Liability

To the maximum extent allowed by law, our liability is capped at the amount you paid Cadence in the 12 months before the claim. We're not liable for indirect, consequential, or punitive damages.

8. Governing law

Delaware law, with disputes resolved by arbitration in San Francisco (JAMS rules). Class waivers apply.

9. Changes

30 days' email notice for any material change.
